MCF Constitution

Article I: Name

I.1 The name of this organization shall be the Minnesota Chromatography Forum (hereafter referred to as MCF).

Article II: Objectives

II.1 The objectives of the Minnesota Chromatography Forum shall be to maintain and promote an interest in and to provide for education, discussion, and exchange of information with respect to all fields of chromatography.

Article III: Membership

III.1 Membership in the Minnesota Chromatography Forum shall be open to all persons who indicate an active interest in any field of chromatography. Active members are who have paid dues as set by the Governing Board.

III.2 Application for membership shall be made in such a manner as may be prescribed by the membership committee with the approval of the Governing Board.

III.3 The membership of any member who fails to pay dues or other financial obligations may be terminated by the Governing Board.

Article IV: Officers

IV.1 The officers of the Minnesota Chromatography Forum shall be a President, an Immediate Past President, a President-Elect, a Secretary, a Secretary-Elect, and a Treasurer, all of whom shall be members of the Minnesota Chromatography Forum.

IV.2 The President-Elect and the Secretary-Elect shall be elected by the membership at the annual meeting for a term of one year commencing on the first day of July and shall hold office until their successors are elected and installed, provided that the President-Elect shall become President the next term after his term as President-Elect and the Secretary-Elect shall become Secretary.

IV.3 In the event of a vacancy in any of the offices, the Governing Board will fill such vacancy within 60 days for the balance of the unexpired term of the vacant office except the office of the President-Elect for which a special election is required.

IV.4 The President shall be vested with the executive authority of the Minnesota Chromatography Forum to preside at meetings and to perform such other duties as may be necessary for the orderly conduct and administration of the affairs of the Minnesota Chromatography Forum.

IV.5 In the absence of the President, the other officers of the MCF shall assume the duties of the President in the order designated in Section IV.1.

IV.6 The Secretary shall keep a record of the proceedings of all meetings of the Minnesota Chromatography Forum and of its Governing Board and shall give notice of such other affairs or actions of the Minnesota Chromatography Forum as may be requested by the Governing Board. In the absence of the Secretary at a meeting, the Secretary-Elect shall assume said duties.

IV.7 The Treasurer, appointed by the President and approved by the Board, shall collect and, under the direction of the Governing Board, arrange for the care and distribution of the funds of the MCF. The Treasurer shall submit a financial report to the MCF at its annual meeting.

Article V: Governing Board

V.1 There shall be a Governing Board consisting of the officers and three Directors, one of whom shall be elected with the officers at each annual meeting.

V.2 The terms of members of the Governing Board who are not officers shall be three years. The term of the Immediate Past President shall be one year.

V.3 The Governing Board shall meet no less than once each quarter during each year. A special meeting of the Governing Board may be called at any time by the President or by any two members of the Board upon at least five days notice given by mail, fax or other electronic means, or telephone.

V.4 The Governing Board shall have the authority to act for the MCF in all matters except those expressly required in this Constitution to be submitted to the full membership. The Governing Board shall have control of all property belonging to the MCF and shall have the power to direct the expenditure of the funds of the MCF.

V.5 The presence of a simple majority of the members of the Governing Board at any meeting shall constitute a quorum.

V.6 All action taken by the Governing Board shall be by a majority vote of the quorum unless otherwise provided herein.

Article VI: Fiscal Year

VI.1 The fiscal year of the MCF shall be the taxable calendar year.

Article VII: Financial Matters

VII.1 The annual dues for membership shall be fixed from time to time by the Governing Board but shall not be changed more frequently than once per year. Any change in annual dues shall be effective for the next full year following the year in which the change has been voted.

VII.2 Annual dues shall be due and payable by or at the time of the Spring Symposium of the MCF.

VII.3 Any member in default in the payment of dues may be dropped from the rolls of the MCF as a member at the discretion of the Governing Board.

VII.4 All checks, drafts or orders for the payment of funds of the MCF shall bear the signature of the Treasurer or other authorized individuals. The Treasurer and President-Elect shall be responsible for establishing and maintaining a system of checks and balances such that each could conduct an independent reconciliation of disbursements.

VII.5 With the approval of the Governing Board, financial grants may be made to individuals or organizations from time to time, as shall be deemed to be in the interest of the MCF.

Article VIII: Meetings

VIII.1 The annual meeting of the MCF shall be held in May or each year unless otherwise fixed by the Governing Board.

VIII.2 Special meetings of the MCF may be held as determined by the Governing Board or upon the written request of ten percent of the membership of the MCF wherein said request shall designate a date for such meeting.

VIII.3 Written notice shall be given of the annual and any other meeting of the MCF, designating the place and time of the meeting and such notice shall be given no later than two weeks prior to the date fixed for such meeting.

VIII.4 Any member of the MCF may, at a meeting of the MCF, place before the members any matter relating to the business, objectives, or activities of the MCF.

VIII.5 The presence of ten percent of the membership at any meeting of the Group shall constitute a quorum.

Article IX: Committees

IX.1 The President, at the first meeting after the annual meeting of the Group, shall appoint such committees as the Governing Board shall deem necessary, the members of such committees to serve until their successors are appointed and installed or for the term of such committee if such term is specifically designated by the Governing Board.

Article X: Amendments

X.1 The Constitution may be amended by a two-thirds vote of the members at a meeting wherein at least a quorum is present or by a two-thirds vote in a mail referendum when authorized by the Governing Board, provided that properly marked ballots are received from at least one-fourth of the membership in any such mail referendum. Members may allow the Governing Board to designate ballots by proxy if such notificatin is given upon announcement of the amendments.

Article XI: Seal

XI.1 The official seal of the Group shall be of a type and design as shall be approved by the Governing Board and retained by the Secretary.

Article XII: Dissolution

XII.1 In the event the MCF is dissolved for any reason, the assets of the MCF remaining after payment of all of its debts shall be conveyed to the Department of Chemistry, University of Minnesota, 207 Pleasant St., Minneapolis MN 55455, and, if such University is not in existence at the time of such dissolution, then said assets shall be distributed to such other organization as shall meet similar exemption under the Internal Revenue Code, as may be determined by the Governing Board.
